Agreement<\/b><\/p><p>&nbsp;<\/p><p>This On-Bill Repayment Program Agreement (Agreement) is entered by the above Member (Member)\nand Holy Cross Electric Association, Inc., doing business as Holy Cross Energy (HCE), each\nindividually referred to as a \u201cParty\u201d and collectively referred to as the \u201cParties.\u201d<\/p><p>&nbsp;<\/p><p>Member desires to enroll\nin the On-Bill Repayment Program of HCE (Program) to facilitate the\ninstallation of an eligible energy\nproject (Project) at Member\u2019s\nreal property (Facility). Member also\nenrolls in the \u201cDistributed Energy Resource Service Agreement \u2013 Optional\u201d\nTariff (DERSA) in relation to the installation costs of the Project.&nbsp; The\nterms of this Agreement are supplemental to the Electric\nService Agreement between\nMember and HCE.<\/p><p>&nbsp;<\/p><p><b>Member agrees to the following terms and conditions:<\/b><\/p><p>&nbsp;<\/p><p><span>1.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>agrees<span> <\/span>to<span> <\/span>all<span> <\/span>terms<span> <\/span>and<span> <\/span>conditions<span> <\/span>of<span> <\/span>the\nArticles of Incorporation, Bylaws,<span> Tariffs,\nRules and Regulations of HCE and any changes made to the <\/span>Agreement, the\nArticles of Incorporation, Bylaws,<span> <\/span>Tariffs,\nRules<span> and Regulations<\/span> by HCE<span> <\/span>as<span> <\/span>established<span> <\/span>from<span> <\/span>time<span> <\/span>to<span> <\/span>time<span> <\/span>by<span> <\/span>HCE.<span> <\/span><\/span><\/p><p><span>2.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>may<span> provide a rebate to reimburse Member wholly or\npartially for Member\u2019s purchase and installation of <\/span><span>any <\/span>eligible<span> <\/span>equipment related to the Project (\u201cEquipment\u201d)<span> <\/span>for use<span>\n<\/span>at<span> <\/span>the<span> <\/span>Facility<span>.<\/span><\/span><\/p><p><span>3.<span>&nbsp;<\/span><\/span><span>HCE will pay the enrolled contractor directly for some,\nor all, of the initial costs of the Project at the Facility. Member will<span> <\/span>hire<span> <\/span>the<span> Program Enrolled C<\/span>ontractor (Contractor)\nand the Member shall see<span> <\/span>to the<span> <\/span>design and installation of<span> <\/span>the Project.<span> <\/span>Member<span> <\/span>shall<span> <\/span>be<span> <\/span>responsible<span> <\/span>for<span> <\/span>all<span> <\/span>means,<span>\n<\/span>methods,<span> <\/span>techniques,<span> <\/span>sequences,<span> <\/span>and<span> <\/span>procedures<span> <\/span>and<span> <\/span>for<span> <\/span>coordinating all portions of the\ninstallation and operation of the Project. <\/span><\/p><p><span>4.<span>&nbsp;<\/span><\/span><span><span>All\nresponsibilities, understandings, and authorizations of Member, HCE, landlord\n(if applicable) and Contractor shall be evidenced by written agreements,\nnotifications, and disclosures\/consents.&nbsp;HCE is not affiliated with any\nContractor.&nbsp;<\/span><\/span>&nbsp;<\/p><p><span>5.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>will<span> <\/span>allow<span> <\/span>free<span> <\/span>and<span> <\/span>unrestricted<span> <\/span>access<span> <\/span>to<span> <\/span>usage<span>\n<\/span>data<span> <\/span>of<span> <\/span>the<span> <\/span>Project<span> <\/span>to<span> <\/span>HCE<span> <\/span>for<span> <\/span>the<span> life of the Equipment.&nbsp; <\/span><\/span><\/p><p><span>6.<span>&nbsp;<\/span><\/span><span><span>Member shall pay for and provide all necessary\ncommunications to the Project through Member\u2019s Wi-Fi or telephone\ncommunications. Any ongoing costs of maintaining the Wi-Fi or telephone\ncommunications between the eligible Equipment and HCE\u2019s data system shall be\npaid for by Member.<\/span><\/span>&nbsp;<\/p><p><span>7.<span>&nbsp;<\/span><\/span><span>If<span> <\/span>Member<span> <\/span>moves<span> <\/span>or<span> <\/span>discontinues<span> <\/span>service<span> <\/span>at<span> <\/span>the<span> <\/span>Facility<span> <\/span>at<span> <\/span>which<span> <\/span>the<span> <\/span>Project<span> <\/span>is<span> <\/span>installed<span> <\/span>within<span> <\/span>the\nterm of this Agreement,<span> <\/span>then<span> <\/span>the Member will be required to:<\/span><\/p><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>a.<span>&nbsp;<\/span><\/span><span>pay the remaining balance due under the Agreement; or<\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>b.<span>&nbsp;<\/span><\/span><span>any successor in possession of the Facility can assume the remaining\nterm of this&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; Agreement.<\/span><\/p><\/blockquote><p><span>8.<span>&nbsp;<\/span><\/span>A successor in\npossession or ownership of the Facility upon which the Project was installed may be required\nby HCE to pay the balance\ndue for the Project.\nMember shall advise all successors in possession or ownership of the Facility\nand premises upon which the Project was installed that the additional amount\ndue portion of the billing will continue to be paid by such successor unless\nsuch amount due to HCE is paid in full.<\/p><p><span>9.<span>&nbsp;<\/span><\/span>Project must\nremain installed at the Facility in HCE\u2019s service territory until it is repaid\nin full.<\/p><p><span>10.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>will<span> <\/span>pay\nHCE<span> <\/span>all<span> <\/span>its<span> <\/span>expenses<span> <\/span>through<span>\n<\/span>a<span> <\/span>monthly<span> <\/span>fixed<span>\n<\/span>charge<span> <\/span>added<span> <\/span>through<span>\n<\/span>the DERSA<span> <\/span>on<span> <\/span>the<span> <\/span>utility\nbill for the amount incurred by HCE for its actual cost of the installation of\nthe Project and for other expenses connected with the Program. This fixed rate\nwill be assessed to the Member over a specific period as determined by HCE and as\nshown in the Repayment Exhibit A.<\/span><\/p><p><span>11.<span>&nbsp;<\/span><\/span><span>HCE may include<span> <\/span>an administrative cost, in the form of a\nfixed fee and\/or percentage rate, in the calculation of the monthly fixed\ncharge. <\/span><\/p><p><span>12.<span>&nbsp;<\/span><\/span><span>Member agrees\nthat this transaction is a utility rate transaction, and it is not a loan\ntransaction.<\/span><\/p><p><span>13.<span>&nbsp;<\/span><\/span><span>Member may pay\nthe outstanding balance without any penalty. Member must notify HCE in writing\nof Member\u2019s intent to pay the outstanding balance. All payments received will\nbe applied to the Member\u2019s electric account and processed under the standards\nof the Electric Service Agreement.<\/span><\/p><p><span>14.<span>&nbsp;<\/span><\/span><span>The<span> <\/span>payment<span>\n<\/span>obligation<span> <\/span>under<span> <\/span>the Agreement shall<span> <\/span>be<span> <\/span>treated<span> <\/span>the<span> <\/span>same<span> <\/span>as<span> <\/span>charges<span> <\/span>for electric<span> <\/span>service<span> <\/span>pursuant<span> <\/span>to HCE\u2019s<span>\nTariffs, <\/span>Rules,<span> <\/span>and\nRegulations. <\/span><\/p><p><span>15.<span>&nbsp;<\/span><\/span><span>Payment of<span> <\/span>any amount due<span> <\/span>under this<span> <\/span>Agreement\nis<span> <\/span>the personal obligation of<span> <\/span>the<span> <\/span>Member\nand cannot be<span> <\/span>discharged or assumed\nby another person without the prior written consent of HCE.&nbsp; <\/span><\/p><p><span>16.<span>&nbsp;<\/span><\/span><span>If<span> <\/span>Member<span>\n<\/span>defaults<span> <\/span>in<span> <\/span>payment<span>\n<\/span>of<span> <\/span>the<span> <\/span>amount<span> <\/span>due<span> <\/span>under<span> <\/span>the\nAgreement<span> <\/span>or<span> <\/span>on<span> <\/span>electric<span> <\/span>service,<span>\n<\/span>then<span> <\/span>Member may<span> <\/span>not participate in any existing or future\nbenefit or subsidy program established by HCE.<\/span><\/p><p><span>17.<span>&nbsp;<\/span><\/span><span>If<span> <\/span>the<span> <\/span>Facility<span> <\/span>upon<span> <\/span>which<span> <\/span>the<span> Project\nwas <\/span>installed<span> <\/span>is<span> <\/span>destroyed<span>\n<\/span>or<span> <\/span>damaged<span> <\/span>from<span> <\/span>any<span> <\/span>cause,<span> <\/span>then<span> <\/span>Member shall<span> <\/span>still<span> <\/span>be liable<span> <\/span>for payment of<span> <\/span>all<span> <\/span>amounts<span> <\/span>due<span> <\/span>to\nHCE under the Agreement. If<span> <\/span>the<span> <\/span>Facility upon which the<span> <\/span>Project was<span> <\/span>installed is partially or totally vacant, then Member shall\nstill be liable for payment of all amounts due to HCE under the Agreement.\nMember shall, at Member\u2019s sole cost, insure the cost of replacement of the Project\nand shall have the insurance carrier show the interest of<span> <\/span>HCE under the terms of the Agreement as a\nloss payee.<\/span><\/p><p><span>18.&nbsp;<\/span><span>The Work will comply with all\napplicable local, state and national building codes and standards. The Member\u2019s\nContractor will obtain all necessary permits for the Project and certify that Equipment\nand other products have been installed consistent with manufacturer\ninstructions and applicable codes.<\/span><\/p><p><span>19.<span>&nbsp;<\/span><\/span><span>Final fixed charge (DERSA) will\nreflect actual and final project costs submitted with Completion Documents and\nmay vary from pre-approved amount. &nbsp;&nbsp;<\/span><\/p><p>&nbsp;<\/p><p><b>General\nTerms and Conditions:<\/b> <\/p><p>&nbsp;<\/p><p><span>20.<span>&nbsp;<\/span><\/span><span>All<span> <\/span>information<span> <\/span>gathered<span> <\/span>by<span> <\/span>HCE<span> <\/span>in<span> <\/span>the<span> <\/span>application<span> <\/span>for<span> <\/span>the<span> Project<\/span><span>\n<\/span>and<span> <\/span>for<span> <\/span>the<span> <\/span>granting<span> <\/span>of<span> <\/span>electric<span> <\/span>service<span>\n<\/span>to<span> <\/span>the Facility is governed by\nthe provisions of the Tariffs, Rules, and Regulations of HCE which may be\namended from time to time. <\/span><\/p><p><span>21.<span>&nbsp;<\/span><\/span><span>HCE does not warrant the Project and its improvements,\nor the quality of workmanship in the installation of the Project, or the value\nof the Project to Member. HCE disclaims<span> <\/span>all<span> <\/span>express<span>\n<\/span>or<span> <\/span>implied<span> <\/span>warranty<span>\n<\/span>of<span> <\/span>the<span> <\/span>Project<span> <\/span>including<span> <\/span>without<span>\n<\/span>limitation<span> <\/span>any<span> <\/span>implied<span>\n<\/span>warranty<span> <\/span>of fitness for a\nparticular purpose, merchantability, usability, and habitability. <\/span><\/p><p><span>22.<span>&nbsp;<\/span><\/span><span>HCE shall retain\nand own all Green Attributes (such<span> <\/span>as<span> <\/span>Renewable<span>\n<\/span>Energy<span> <\/span>Credits,<span> <\/span>or<span> <\/span>carbon<span> <\/span>offsets,<span>\n<\/span>as<span> <\/span>may<span> <\/span>be<span> <\/span>applicable)<span> <\/span>of<span> <\/span>any<span> <\/span>kind<span> <\/span>or\nnature<span> <\/span>associated with the Project\nMember hereby conveys to HCE all present and future rights to such Green\nAttributes and agrees to take all further steps required to effect such\ntransfer to HCE at the time of any such delivery. <\/span><\/p><p><span>23.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>has<span> <\/span>obtained,<span> <\/span>to<span> <\/span>the<span> <\/span>extent<span>\n<\/span>Member<span> <\/span>has<span> <\/span>deemed<span> <\/span>necessary<span> <\/span>or<span> <\/span>prudent,<span> <\/span>legal<span> <\/span>counsel<span> <\/span>to<span> <\/span>advise<span> <\/span>Member<span>\n<\/span>on<span> <\/span>this<span> <\/span><span>Agreement.\n<\/span><\/span><\/p><p><span>24.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>may<span> <\/span>disclose<span> <\/span>such<span> <\/span>information\nabout this Agreement, the Project, the data from the Project and any other\ninformation<span> <\/span>as<span> <\/span>may<span> <\/span>be<span> <\/span>required<span>\n<\/span>to<span> <\/span>be<span> <\/span>disclosed<span> <\/span>by<span> <\/span>law<span> <\/span>or<span> <\/span>court<span> <\/span>order<span> <\/span>from<span> <\/span>a<span> <\/span>court<span> <\/span>of\ncompetent jurisdiction, and as provided in HCE\u2019s Member Privacy and\nConfidentiality Policy in effect from time to time. <\/span><\/p><p><span>25.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>will\nself-produce on the Facility or<span> <\/span>purchase<span> <\/span>from HCE<span>\n<\/span>all<span> <\/span>electric<span> <\/span>energy<span>\n<\/span>used<span> <\/span>on<span> <\/span>the<span> <\/span>Facility<span> <\/span>and<span> Member\n<\/span>will<span> <\/span>pay for<span> <\/span>at<span> <\/span>the<span> <\/span>applicable<span> <\/span>rates<span> <\/span>and<span> <\/span>terms<span> <\/span>in\naccordance with the Tariffs, Rules, and Regulations of HCE as may from time to\ntime be adopted by HCE. <\/span><\/p><p><span>26.<span>&nbsp;<\/span><\/span><span>The<span> <\/span>Tariffs,<span> <\/span>Rules,<span>\n<\/span>and<span> <\/span>Regulations<span> <\/span>of HCE<span> <\/span>may<span> <\/span>be<span> <\/span>changed\nby HCE from time to time, and this Agreement shall incorporate the provisions\nthereof as changed in the future. Member\u2019s failure or refusal<span> <\/span>to<span> <\/span>accept<span> electric <\/span>service<span> <\/span>from HCE or<span> <\/span>to<span> <\/span>comply<span> <\/span>with<span> <\/span>the<span> <\/span>Tariffs,\nRules,<span> <\/span>and<span> <\/span>Regulations<span> <\/span>of HCE,<span> <\/span>or<span> <\/span>to\nperform<span> <\/span>under<span> <\/span>the<span> <\/span>terms<span> <\/span>and conditions<span> <\/span>of<span> <\/span>this<span> <\/span>Agreement shall<span> <\/span>not<span> <\/span>relieve<span> <\/span>Member<span>\n<\/span>from<span> <\/span>performing<span> <\/span>this Agreement. <\/span><\/p><p><span>27.<span>&nbsp;<\/span><\/span><span>To the maximum\nextent permitted by law the Member shall defend, indemnify, and hold harmless\nHCE and HCE\u2019s directors, officers,<span> <\/span>and<span> <\/span>employees<span>\n<\/span>from<span> <\/span>all<span> <\/span>claims,<span>\n<\/span>causes,<span> <\/span>action,<span> <\/span>losses, liabilities,<span> <\/span>and<span> <\/span>expenses<span> <\/span>(including<span> <\/span>reasonable<span> <\/span>attorney\u2019s<span> <\/span>fees)<span> <\/span>for\npersonal loss, injury, or death to person (including but not limited to the\nMember\u2019s employees) and loss, damage to, or destruction of HCE\u2019s<span> <\/span>and the Member\u2019s<span> <\/span>property or the property of<span>\n<\/span>any other person or entity in any manner arising out of or connected\nwith the Program and the installation and operation of the Project, or the\nmaterials or Equipment supplied or services performed by HCE, its\nsubcontractors and suppliers of any tier. <\/span><\/p><p><span>28.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>has<span> <\/span>its<span> <\/span>rights<span> <\/span>under<span> <\/span>law\nfor<span> <\/span>nonpayment<span> <\/span>of<span> <\/span>any<span> <\/span>amount<span> <\/span>due<span> <\/span>to<span> <\/span>HCE,<span> <\/span>including<span>\n<\/span>without<span> <\/span>limitation<span> <\/span>the<span> <\/span>right<span> <\/span>to<span> <\/span>terminate<span> <\/span>electric service to the Member and any\nsuccessor in possession or ownership of the premises upon which the project was\ninstalled, and the right to terminate any other electric service provided by\nHCE to the Member at any location in the event of<span> <\/span>any default in payment of<span> <\/span>any\namount due<span> <\/span>to HCE including without\nlimitation the<span> <\/span>amount of<span> <\/span>the<span> <\/span>cost\nas<span> <\/span>determined under the Agreement\nand other charges. <\/span><\/p><p><span>29.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>agrees<span> <\/span>(A)<span> <\/span>the<span> <\/span>laws<span> <\/span>of<span> <\/span>the<span> <\/span>State<span>\n<\/span>of<span> <\/span>Colorado shall<span> <\/span>govern<span> <\/span>this\nAgreement<span> <\/span>and<span> <\/span>any<span> <\/span>dispute<span> <\/span>arising hereunder<span> <\/span>shall be litigated in a Federal or State Court located in the\nState of Colorado, (B) TO WAIVE TO THE FULLEST EXTENT PERMITTED BY LAW THE\nRIGHT TO A TRIAL BY JURY. <\/span><\/p><p><span>30.<span>&nbsp;<\/span><\/span><span>Member<span> <\/span>agrees<span> <\/span>that<span> <\/span>(i)<span> <\/span>it<span> <\/span>possesses<span>\n<\/span>all<span> <\/span>requisite<span> <\/span>power<span> <\/span>and<span> <\/span>authority<span>\n<\/span>to<span> <\/span>enter<span> <\/span>and<span> <\/span>perform<span> <\/span>this<span> <\/span>Agreement<span> <\/span>and<span> <\/span>to<span> <\/span>carry out the transactions<span> <\/span>contemplated herein; (ii) this<span> <\/span>Agreement has been duly executed and\ndelivered; and (iii)<span> <\/span>this<span> <\/span>Agreement constitutes the legal, valid,\nbinding, and enforceable agreement of Member. <\/span><\/p><p><span>31.<span>&nbsp;<\/span><\/span><span>If<span> <\/span>any<span> <\/span>provision<span>\n<\/span>of<span> <\/span>this<span> <\/span>Agreement<span> <\/span>shall<span> <\/span>for<span> <\/span>any<span> <\/span>reason<span> <\/span>be<span> <\/span>held<span> <\/span>to<span> <\/span>be<span> <\/span>invalid,<span> <\/span>illegal,<span>\n<\/span>or<span> <\/span>unenforceable<span> <\/span>in<span> <\/span>any<span> <\/span>respect, then the remaining provisions of\nthis Agreement shall remain in full force and effect to the maximum extent\npossible. <\/span><\/p><p><span>32.<span>&nbsp;<\/span><\/span><span>HCE has the power to amend, modify, alter, or waive any of the\nprovisions of the terms of this Agreement. Any promises, agreements, or\nrepresentations made by any agent or representative of HCE not herein set forth\nshall be void and of no effect.<\/span><\/p><p><span>33.<span>&nbsp;<\/span><\/span><span>HCE retains the right to\nrecalculate any rate at its discretion.&nbsp; <\/span><\/p><p><span>34.<span>&nbsp;<\/span><\/span><span>HCE must accept\nthis Agreement before it<span> <\/span>constitutes<span> <\/span>a<span> <\/span>binding<span> <\/span>agreement<span>\n<\/span>between<span> <\/span>the<span> <\/span>Member<span> <\/span>and<span> <\/span><span>HCE. <\/span><\/span><\/p><p><span>35.<span>&nbsp;<\/span><\/span><span>This<span> <\/span>Agreement<span> <\/span>is<span> <\/span>neither<span> <\/span>intended<span>\n<\/span>to<span> <\/span>create,<span> <\/span>nor<span> <\/span>shall<span> <\/span>it be<span> <\/span>construed<span> <\/span>as<span> <\/span>creating,<span> <\/span>a<span> <\/span>joint<span> <\/span>venture,<span>\n<\/span>partnership,<span> <\/span>or<span> <\/span>other form<span> <\/span>of business association between the Parties, or an agreement to\nenter any business relationship. <\/span><\/p><p><span>36.<span>&nbsp;<\/span><\/span><span>Member agrees\nthat this Agreement constitutes the full, complete, and only agreement between\nthe Parties and supersedes<span> <\/span>any<span> <\/span>previous<span>\n<\/span>representations<span> <\/span>or<span> <\/span>agreements,<span> <\/span>and<span> <\/span>this<span> <\/span>Agreement<span> <\/span>shall<span> <\/span>not<span> <\/span>be<span> <\/span>amended<span> <\/span>except<span>\n<\/span>in<span> <\/span>writing<span> <\/span>signed by duly authorized representatives\nof both Parties. <\/span><\/p><p><span>37.<span>&nbsp;<\/span><\/span><span><span>Member\nmaintains all disclosure obligations to any successor, tenant, landlord, etc.\nHCE may record this instrument in the office of the County Clerk and Recorded\nin which the real estate is situated.&nbsp; <\/span><\/span><\/p><p><span>38.<span>&nbsp;<\/span><\/span><span>This<span> <\/span>Agreement shall<span> <\/span>be<span> <\/span>binding<span> <\/span>upon<span> <\/span>the<span> <\/span>successors,<span> <\/span>legal<span> <\/span>representatives,<span> <\/span>heirs,<span>\n<\/span>devisees,<span> <\/span>and permitted<span> <\/span>assigns<span>\n<\/span>of<span> <\/span>Member. <\/span><\/p><p>&nbsp;<\/p><p>&nbsp;<\/p><p><b>Distribution Flexibility Program\nProvisions, if applicable:<\/b><\/p><p>&nbsp;<\/p><p>Member shall enroll, if\napplicable, in HCE\u2019s Distribution Flexibility (DF) Tariff \u2013 with the following\nterms and conditions being supplemental Project-specific program rules. Member\nwill allow HCE full operational control of the Project.\nThis Agreement serves as the program rules referenced in the DF Tariff.\nThe actual Tariff terms as posted\nand amended from time to time shall govern in the event of any discrepancy\nbetween the DF Tariff and this Agreement.<\/p><p>&nbsp;<\/p><p><i>Terms and Conditions for HCE\u2019s Control\nof the Project:<\/i><\/p><p><span>39.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>may<span> <\/span>delay<span> <\/span>or<span> <\/span>initiate<span> <\/span>the<span> <\/span>use<span> <\/span>of<span> Project<\/span><span> <\/span>during<span>\n<\/span>times<span> <\/span>of peak<span> d<\/span>emand. Peak demand expectations:<\/span><\/p><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>a.<span>&nbsp;<\/span><\/span><span>High<span> <\/span>demand<span> <\/span>or<span> <\/span>critical<span> <\/span>demand<span>\n<\/span>events<span> <\/span>will<span> <\/span>most<span> <\/span>commonly<span> <\/span>take<span> <\/span>place<span> <\/span>between<span>\n<\/span>the<span> <\/span>hours<span> <\/span>of<span> <\/span>4<span> <\/span>p.m.<span> <\/span>and<span> <\/span>9<span> <\/span>p.m.<span> <\/span>and<span> <\/span>may\noccur on any day of the year.<\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>b.<span>&nbsp;<\/span><\/span><span>Peak<span> <\/span>events<span> <\/span>are<span> <\/span>expected<span> <\/span>to<span> <\/span>last<span> <\/span>2-3<span> <\/span>hours<span> <\/span>in<span> <\/span><span>duration.<\/span><\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>c.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>will<span> <\/span>target<span> <\/span>a<span> <\/span>limit<span> <\/span>of<span> 240<\/span><span> <\/span>peak<span> <\/span>demand<span> <\/span>event<span> <\/span>hours<span> <\/span>in<span> <\/span>a<span> <\/span>calendar<span>\n<\/span>year,<span> <\/span>although<span> <\/span>that<span> <\/span>limit<span> <\/span>can<span> <\/span>be<span> <\/span>revised by HCE<span> <\/span>if<span> <\/span>conditions <span>warrant.<\/span><\/span><\/p><\/blockquote><p><span>40.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>may<span> <\/span>delay<span> <\/span>or<span> <\/span>initiate<span> <\/span>the<span> <\/span>use<span> <\/span>of<span> Project<\/span><span> <\/span>during<span>\n<\/span>times<span> <\/span>of<span> <\/span>peak<span> <\/span>renewable<span> <\/span><span>production.<\/span><\/span><\/p><p><span>41.<span>&nbsp;<\/span><\/span><span>Renewable<\/span> oversupply expectations:<\/p><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>a.<span>&nbsp;<\/span><\/span><span>Peak<span> <\/span>renewable<span> <\/span>production will<span> <\/span>most<span> <\/span>commonly<span> <\/span>take<span> <\/span>place<span> <\/span>between<span>\n<\/span>the<span> <\/span>hours<span> <\/span>of<span> <\/span>11<span> <\/span>p.m.<span> <\/span>and<span> <\/span>6<span> <\/span>a.m.,<span> <\/span>and<span> <\/span>between<span> <\/span>1<span> <\/span>p.m.\nand 5 p.m. and can occur any day of the year.<\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>b.<span>&nbsp;<\/span><\/span><span>Peak<span> <\/span>renewable<span> <\/span>production<span> <\/span>events<span> <\/span>are<span> <\/span>expected<span>\n<\/span>to<span> <\/span>last<span> <\/span>3-10<span> <\/span>hours<span> <\/span>in<span> <\/span><span>duration.<\/span><\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>c.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>anticipates<span> <\/span>around<span> <\/span>85<span> <\/span>days<span> <\/span>may<span> <\/span>include<span>\n<\/span>peak<span> <\/span>renewable<span> <\/span>production<span> <\/span><span>events.<\/span><\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>d.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>will<span> <\/span>target<span>\n<\/span>a<span> <\/span>limit<span> <\/span>of<span> <\/span>300<span> <\/span>peak<span> <\/span>renewable<span> <\/span>production event<span> <\/span>hours<span> <\/span>in<span> <\/span>a<span> <\/span>calendar<span> <\/span>year,<span>\n<\/span>although<span> <\/span>that<span> <\/span>limit<span>\n<\/span>can<span> <\/span>be<span> <\/span>revised if conditions warrant.<\/span><\/p><\/blockquote><p><span>42.<span>&nbsp;<\/span><\/span><span>HCE<span> <\/span>may<span> <\/span>evaluate<span>\n<\/span>and<span> <\/span>consider<span> <\/span>all<span> <\/span>relevant<span> <\/span>conditions,<span> <\/span>including<span> <\/span>but<span> <\/span>not<span> <\/span>limited<span> <\/span>to<span> <\/span>forecasted<span> <\/span>and<span> <\/span>actual<span> <\/span>renewable<span> <\/span>generation, forecasted and actual peak hours, temperature,\nsystem load conditions, system operation <\/span>needs, energy market conditions, load shape,\ntransmission system conditions, and other emergency conditions in determining\nwhether to exercise control over Project.<\/p><p><span>43.<span>&nbsp;<\/span><\/span><span>HCE retains the right to recalculate and\ninitiate any rate at its discretion.&nbsp;Events that may require a\nrecalculation include without limitation: <\/span><\/p><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>a.<span>&nbsp;<\/span><\/span><span>HCE enters an organized wholesale electricity market; or<\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px; border: none; padding: 0px;\"><p><span>b.<span>&nbsp;<\/span><\/span><span>HCE terminates its full requirements service with Public Service Company\nof Colorado (PSCo); or<\/span><\/p><p><span>c.<span>&nbsp;<\/span><\/span><span>PSCo substantially<\/span> modifies its formula rate\ncalculation for capacity; or<\/p><p><span>d.&nbsp;<\/span><span>The HCE\/PSCo Transmission Integration\nand Equalization Agreement is terminated or substantially modified; or<\/span><\/p><\/blockquote><blockquote style=\"margin: 0 0 0 40px;
